These Partner Program Terms (the "Terms") set out the conditions for the referral partner program (the "Program") operated by Bloomy eSIM (the "Service"). By applying for or participating in the Program, you are deemed to have agreed to these Terms.
Article 1 (Definitions)
- Partner: an individual or company whose application to the Program has been approved by the Service
- Referral link: the dedicated URL (including a referral code) issued to each Partner
- Conversion: a valid order placed by a customer who visited the Service via a referral link
Article 2 (Application and approval)
Participation in the Program requires an application in the manner prescribed by the Service and the Service's review and approval. The Service is under no obligation to disclose the results of, or reasons for, its review.
If an application contains false information, or a violation of these Terms is found after approval, the Service may revoke the approval or suspend participation.
Article 3 (Referral links and tracking)
Conversions are tracked using cookies and similar technologies stored when a visitor arrives via a referral link. The cookie validity period is 24 hours in principle, and may be extended to up to 30 days under an individual agreement between the Service and the Partner.
Orders completed within the validity period are recorded as the Partner's conversions. Attribution when multiple partners' links are involved, and other tracking details, are as determined by the Service. The Service may improve or change the tracking mechanism without notice.
The Service is not responsible for conversions that could not be tracked for technical reasons, such as the visitor deleting or blocking cookies.
Article 4 (When conversions accrue; exclusions)
Conversions accrue on valid orders for which the customer was charged. The following are excluded:
- Top-ups (additional data purchases) and auto top-up charges
- Orders that are subsequently refunded, cancelled or charged back (recorded conversions are voided)
- Purchases made by the Partner or related parties (self-referral)
- Orders the Service determines to have been obtained by improper means
A customer's use of a discount does not affect whether a conversion accrues.
Article 5 (Commission)
Commission rates, calculation methods and payment conditions are as individually communicated by the Service to each Partner upon approval. The Service may change the commission conditions applicable to future conversions with prior notice (changes do not apply to conversions that accrued before the change).
Article 6 (Payment)
Commissions are aggregated at the Service's prescribed closing date and paid by the method and schedule communicated individually. Amounts below the minimum payout threshold are carried over to subsequent periods. Partners are responsible for providing the information required for payment (bank details, etc.); the Service is not responsible for payment delays caused by incomplete information.
Article 7 (Prohibited conduct)
Partners must not:
- Generate conversions through purchases by themselves or related parties
- Distribute referral links through spam (unsolicited bulk email, mass posting to forums, etc.)
- Make false, exaggerated or misleading representations about the Service
- Impersonate the Service or any third party
- Run paid search ads using the Service's brand names or trademarks such as "Bloomy eSIM" (except with prior written permission)
- Manipulate tracking improperly, including cookie stuffing or forced clicks
- Promote through media or methods that violate laws or public order and morals
Article 8 (Advertising disclosure)
When posting referral links, Partners must clearly disclose that the content is advertising or promotion (e.g. "Ad" / "PR"), in accordance with applicable advertising regulations, including Japan's rules on undisclosed advertising (stealth marketing).
Article 9 (Use of brand assets)
Partners may use logos, banners and other assets provided by the Service solely for the purpose of promoting the Service under the Program. Assets may not be modified or used for any other purpose. Upon termination of partner status, use must cease promptly.
Article 10 (Suspension and termination)
If a Partner violates these Terms, the Service may, without prior notice, void conversions, withhold commission, and suspend or terminate participation. In cases of serious misconduct, the Service may demand the return of commissions already paid.
Partners may withdraw from the Program at any time. The treatment of unconfirmed conversions at the time of withdrawal is as determined by the Service.
Article 11 (Disclaimer)
The Service is not liable for damages arising from changes to, suspension of, or termination of the Program, except in cases of wilful misconduct or gross negligence. The Service's total liability in connection with the Program is limited to the total commissions paid to the Partner during the preceding six months.
Article 12 (Changes to these Terms)
The Service may amend these Terms as necessary. Material changes will be announced in advance via the partner dashboard or by email. Continued use of the Program after a change constitutes acceptance of the amended Terms.
Article 13 (Governing law and jurisdiction)
These Terms are governed by the laws of Japan. Any dispute arising in connection with the Program shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Service's operator as the court of first instance.
